Terms of Service — FIGEN OS

These terms of service (hereinafter the "Terms") govern access to and use of the FIGEN OS application (the "Application"), published by Figen AI, a SAS registered with the Nanterre Trade and Companies Register under number 939277752, with its registered office at 49 rue de l'Abbé Jean Glatz, 92270 Bois-Colombes, France ("Figen AI", "we").

The Application is available at app.figenai.com. It is reserved for professionals in wealth management advice and related occupations, under the subscription agreement entered into by their firm.

1. Acceptance of the Terms

By creating an account, logging into the Application or connecting a third-party account (such as a Google account), you accept these Terms without reservation. If you do not accept the Terms, you must not use the Application.

The Terms complement the subscription agreement concluded between Figen AI and your firm. In the event of a conflict, the subscription agreement prevails.

2. Access to the Application

  • Access to the Application requires a user account, created upon invitation from your firm;
  • Your credentials are strictly personal and confidential. You are responsible for any use made from your account and must notify us without delay of any unauthorised use;
  • You undertake to provide accurate information and to keep it up to date;
  • Figen AI may suspend access in the event of a breach of the Terms, a risk to the security of the platform, or non-payment by the firm.

3. Description of the service

FIGEN OS is a workspace made up of modules (client records, documents, electronic signature, compliance, calculators, calendar, mailbox, etc.) and an AI assistant, the Super Agent, to which you address requests in natural language.

The available modules depend on the plan subscribed by your firm. Figen AI may change, add or remove features, in accordance with the subscription agreement.

Assistance by artificial intelligence

The Super Agent and the other AI features are assistance tools: they produce answers, summaries, drafts and suggestions from the information available, citing their sources where possible.

  • This content constitutes neither personalised advice nor a position taken by Figen AI; it may contain errors or approximations;
  • You remain solely responsible for verifying, adapting and using this content in the course of your professional activity and towards your own clients;
  • Tax and financial calculations are performed by deterministic calculators, but their results must be verified before any use.

4. Connecting a Google account (Gmail and Google Calendar)

You may, optionally, connect your Google account to the Application in order to view your Gmail mailbox and calendar in FIGEN OS and have them processed by the Super Agent (reading, searching, summarising, drafting replies, organising, managing events).

By connecting your Google account, you acknowledge and agree that:

  • the connection uses Google's OAuth 2.0 protocol and you grant FIGEN OS the permissions shown on Google's authorisation screen (e-mail address, reading and managing e-mails, sending e-mails, calendar events);
  • you are authorised to connect this account, in particular if it is a professional account managed by your firm, and you comply with its internal rules;
  • the Application does not store your e-mails: every operation is performed in real time through Google's APIs, under the conditions described in the FIGEN OS Privacy Policy;
  • no e-mail is sent without your explicit confirmation in the interface. You are responsible for the content of the messages you confirm and the recipients you choose, as well as for the calendar events you create, update or delete;
  • use of Google services remains subject to the Google Terms of Service and the Google Privacy Policy;
  • you may revoke access at any time, from the Application's settings or from the Third-party apps with account access page of your Google account;
  • Figen AI's use and transfer to any other app of information received from Google APIs will adhere to the Google API Services User Data Policy, including the Limited Use requirements.

Figen AI is not liable for the unavailability, limitations or changes of Google's APIs, nor for decisions taken by Google regarding your account.

5. User obligations

You undertake to use the Application in accordance with the law, the ethical rules of your profession and these Terms. In particular, it is prohibited to:

  • use the Application for purposes other than your professional activity, or on behalf of an unauthorised third party;
  • send, through your connected mailbox, unsolicited, fraudulent, defamatory or unlawful messages;
  • enter or process personal data without a legal basis and without having informed the data subjects where required by regulation;
  • attempt to access the data of another firm or another user, circumvent security measures, or disrupt the operation of the Application;
  • extract the content of the Application in an automated or bulk manner, reproduce it or resell it;
  • use the Super Agent to generate unlawful or misleading content, or content that infringes the rights of third parties.

6. Personal data

The processing of personal data carried out in connection with the Application is described in the general Privacy Policy and, for the Google connection, in the FIGEN OS Privacy Policy.

For the data of your own clients, Figen AI acts as a processor on behalf of your firm, in accordance with the data processing agreement (DPA) concluded with it. You are responsible, together with your firm, for the lawfulness of the data you enter and the processing you request.

7. Intellectual property

The Application, its structure, interfaces, documentary databases, calculators, logos and trademarks are the exclusive property of Figen AI or its partners and are protected by intellectual property law.

The subscription agreement grants you a personal, non-exclusive and non-transferable right to use the Application for the duration of the subscription. Any other use, reproduction or representation is prohibited without Figen AI's written authorisation.

You retain ownership of the data and documents you enter or import into the Application. You grant Figen AI the right to host and process them solely to the extent necessary to provide the service.

8. Availability and maintenance

Figen AI endeavours to make the Application available 24/7, subject to maintenance operations, updates and force majeure. Figen AI may temporarily interrupt access for maintenance or security reasons, informing users where possible.

Applicable service levels, if any, are defined in the subscription agreement.

9. Liability

Figen AI uses reasonable means to provide a reliable and secure service. To the extent permitted by law:

  • Figen AI is not liable for decisions taken or advice given to your clients on the basis of content produced by the Application, which you are responsible for verifying;
  • Figen AI is not liable for damage resulting from non-compliant use of the Application, a breach of the confidentiality of your credentials, or the unavailability of third-party services (including Google services);
  • Figen AI's liability is limited to direct damage and capped under the conditions set out in the subscription agreement.

10. Term, suspension and termination

The Terms apply for the entire duration of your use of the Application. Your access ends when your account is closed by your firm, at the end of the subscription agreement, or upon termination for breach of the Terms.

A Google account can be disconnected at any time, independently of your FIGEN OS account, and results in the immediate deletion of the corresponding access tokens.

11. Changes to the Terms

Figen AI may amend these Terms, in particular to reflect legal, technical or functional developments. The version in force is the one published on this page. You will be informed of any significant change; continued use of the Application after such notice constitutes acceptance of the amended Terms.

12. Governing law and jurisdiction

These Terms are governed by French law. Any dispute relating to their interpretation or performance shall, failing an amicable settlement, fall within the jurisdiction of the courts within the jurisdiction of the Versailles Court of Appeal, subject to the provisions of the subscription agreement.
