2. Services Offered
Figen AI provides professionals in heritage and finance (the “Clients”) with access to educational content and technical legal, tax, and social resources (the “Services”) through the Figen AI platform (the “Platform”).
3. Contractual Documents and Information on General Terms and Conditions
The contractual relationship between the Client and Figen AI is governed by the following documents:

Standard Offers (subscribed via www.figenai.com): General Terms and Conditions (accepted upon registration). Any specific conditions prevail in case of contradiction.

Custom Offers (signature of a Quotation):
- The Quotation, to be accepted within 30 days, prevails in case of contradiction (most recent version).
- The General Terms and Conditions.
These General Terms and Conditions define:
- The terms of use of the Services
- The respective obligations of the parties

4. Conditions for Accessing the Services
I. The Client is a legal entity acting through an authorized individual.
II. The Client qualifies as a professional (individual or legal entity acting within the scope of its activity).
5. Access and Subscription Procedures for the Services
The Client can access the Services directly on the Site.
- Standard Offers: fill out the registration form and provide the required information.
- Custom Offers: contact Figen AI using the contact details in Article 1.
Registration (Standard Offers) or signing the Quotation (Custom Offers) leads to the opening of an Account allowing access to the Services with a username and password.
6. Description of the Services
6.1 The Services
- Detailed characteristics and constraints on the Site or in the Quotation.
- Internet connection required.
- Figen AI may offer new Services.
- Any modification of the Services requires a new subscription or a new Quotation.
6.2 Additional Services
i. Maintenance
The Client benefits from corrective and evolutionary maintenance during the duration of the Services. Limited or suspended access may occur; Mandatory updates to maintain compliance; Scheduled maintenance announced 24 hours in advance, outside business hours, for a maximum of 8 hours.
ii. Hosting
Figen AI ensures hosting through a professional provider on servers located in the European Union.
iii. Technical Support
Available Monday to Friday, excluding public holidays, from 8 AM to 6 PM (Paris time). Estimated response time based on the request.
7. Duration of Subscription to the Services
The Client subscribes in the form of a Subscription.
- Standard Offers: starts on the day of subscription, initial period indicated on the Platform.
- Custom Offers: starts on the day of signing the Quotation, initial period indicated on the Quotation.
Tacit renewal for successive periods of the same duration, unless terminated (see article "End of Services").
8. Financial Conditions of Figen AI
8.1 Price of the Services
Prices indicated on the Platform (Standard Offers) or in the Quotation (Custom Offers). Any initiated period is fully due. No discount in case of early termination. Promotional offers may be available. Price revision according to the article "Modification of General Terms and Conditions".
8.2 Billing and Payment Terms
Billing by Period. Payment by direct debit or credit card via the indicated provider.
8.3 Consequences in Case of Delay or Default in Payment
In case of non-payment the day after the due date:
- Suspension of Services until full payment
- Late interest = 3× legal rate + flat fee of €40
- Acceleration of the term and immediate payment of amounts due
9. Intellectual Property Rights
The Platform, software, infrastructures, databases, and content are the property of Figen AI, protected by applicable law. Non-exclusive, personal, and non-transferable SaaS license.
The Client has a license to use the Results (elements published via the Platform) under the following terms:
- Reproduction and fixation on any medium
- Distribution and dissemination (free or paid)
- Public representation (any media or network)
Restrictions (non-exhaustive list, including prohibition of illegal, hateful, pornographic, violent content, etc.). The Client agrees not to reuse the Results as input data for other AIs or

Use of respective names, trademarks, and logos during the contractual relationship and for 3 years thereafter.
11. Client Obligations and Liability
11.1 Provision of Information
The Client agrees to provide all necessary information.
11.2 Client Account
- Accuracy and updating of information
- Confidentiality of username and password
- Notify Figen AI immediately in case of unauthorized access
11.3 Use of Services
Client and User Responsibility. Prohibition against misusing the Services for illegal, fraudulent, or other activities (detailed list).
Responsibility for published content and commitment to provide compensation in case of a claim.
12. Figen AI Obligations and Liability
Figen AI agrees to provide the Services diligently (obligation of means), in compliance with regulations.
12.1 Quality of Services

- Maintenance as per the "Maintenance" section
Not responsible for access difficulties due to third parties, force majeure, etc.
Responsible for server operation up to the point of connection. Does not guarantee the absence of errors or specific suitability to the Client's expectations.
Limitation of Liability
Liability is limited to proven direct damages, capped at the amounts received during the 12 months preceding the event giving rise to the claim.
12.2 Service Level Guarantee
No formal guarantee, but efforts will be made to maintain 24/7 access, except for scheduled maintenance or force majeure.
12.3 Data Backup
Best efforts will be made to back up all data. Not liable for losses in the event of proven negligence.
12.4 Data Storage and Security
Sufficient storage capacity and protective measures (infrastructure, detection, recovery).
12.5 Content Publication
Hosting provider for Client Content, not liable. Prompt removal upon notification of illegality.
12.6 Advertising on the Platform
Possible display of advertising messages. Not liable for third-party platforms.
12.7 Subcontracting and Assignment
Use of subcontractors subject to the same obligations. Subrogation possible with prior notification.
13. Limitation of Figen AI's Liability
Liability limited to proven direct damages only.
14. Admissible Forms of Evidence
Evidence by any means, including messages and data from the Platform.
15. Personal Data Processing Procedures
15.1 General Provisions
Compliance with the French Data Protection Act (Loi Informatique et Libertés) and the GDPR.
15.2 Figen AI as a Data Processor
15.2.1 Data Processing
Processing solely according to the Client's instructions and the attached purposes. Suspension or termination is possible in the event of unlawful processing.
15.2.2 Security and Confidentiality
Appropriate technical and organizational measures.
15.2.3 Subsequent Sub-Processors
List attached. Prior notification of any changes. Client has the right to object within 15 days.
15.2.4 Transfer outside the EU
Permitted subject to appropriate safeguards (Chapter V GDPR).
15.2.5 Assistance and Information
Assistance with requests to authorities and notifications of data breaches.
15.2.6 Data Handling
Deletion or return of data upon expiration of the Subscription, with a one-month notice period to choose.
15.2.7 Documentation
Provision of information and documents for annual audits (notice period: 2 weeks).
15.2.8 Data Reuse
Authorization for Figen AI to improve its services (usage statistics), in its capacity as data controller.
15.2.9 Client Obligations to Figen AI
Provide only relevant and lawful data, maintain records of processing activities, etc.
16. Force Majeure
Definition according to Article 1218 of the French Civil Code, suspension of obligations.
17. Termination of Services

Subscription cancellation: 2 days before the end of the monthly period or 1 month before the end of the annual period.

18. Penalties for Breaches

In case of breach: suspension or termination of access, removal of content, reporting to the authorities, legal action. In case of non-essential breach: 15-day formal notice, termination of Services if not rectified.
19. Modification of the General Terms and Conditions
Figen AI may modify these terms at any time. Written notification will be provided 40 days prior to effective date. Use of the terms and conditions after effective date constitutes tacit acceptance.
20. Applicable Law and Jurisdiction**
French law. The Paris court has jurisdiction after a two-month attempt at amicable resolution.
